- The Service is provided “as is”; our liability is limited as described below.
1. Accounts & Eligibility
You must be at least 18 years old and capable of forming a binding contract. If registering on behalf of an entity, you represent that you are authorized to bind that entity. You must comply with applicable export control laws (e.g., US EAR/ITAR). We may suspend accounts for misuse or non-compliance with these Terms.
2. Subscriptions, Marketplace, and Payment
You may subscribe directly or via AWS Marketplace for Free, Pro, or Enterprise plans. For AWS Marketplace subscriptions:
- AWS Marketplace terms apply in addition to these Terms.
- Upon subscription, AWS provides a registration token used solely to resolve your
CustomerIdentifier
and provision your API key and plan.
- Usage (e.g.,

) is metered and reported to AWS Marketplace for billing, including overage fees for Pro plans ($0.001/request).
Fees, taxes, renewals, and cancellations follow your selected plan and Marketplace policies. Refunds are not provided unless required by law.
3. License & Acceptable Use
We grant you a limited, non-exclusive, non-transferable license to use the Service for internal business purposes, subject to these Terms.
Acceptable Use
- No illegal, harmful, infringing, harassing, or privacy-violating activities.
- No attempting to break, bypass, overload, or tamper with the Service, including rate limits, security controls, or watermarks.
- No reverse engineering or benchmarking for competing services without written consent.
- No using the Service for malicious AI training or generating harmful content.
- We may audit your usage to ensure compliance with these Terms.
4. Your Content & Watermarking
“Content” includes files, text, embeddings, and metadata you submit. You retain ownership of your Content and grant us rights to process, transform, store, and generate verification data as needed to provide the Service.
Important Disclosures
- Scope & Reliability: Watermarking and verification are probabilistic and may be affected by edits, compression, format conversions, OCR, or third-party sanitization.
- Third-Party Marks: We may detect third-party watermark indicators on a best-effort basis and return them as metadata. We do not guarantee their accuracy or completeness.
- AI vs. Human: “AI-generated” classifications are heuristic and not legally binding.
5. Privacy & Security
Our Privacy Policy details data handling. We use AWS KMS for cryptographic signatures and implement reasonable safeguards. You are responsible for securing your API keys and reporting any unauthorized access promptly.
6. Intellectual Property
The Service, documentation, and underlying technology are the intellectual property of STELR AI, Inc. and our licensors. No rights are granted except as expressly stated.
7. Availability & Support
We target 99.9% uptime but do not guarantee uninterrupted service. Free and Pro plan users receive email support at support@stelrai.com. Enterprise plans include dedicated support and service-level agreements (SLAs) as specified in your contract.
8. Previews & Beta Features
Features labeled as alpha, beta, or preview are provided “as is,” may be throttled or modified without notice, and are not production-ready.
9. Third-Party Services
The Service integrates with AWS (e.g., S3, Lambda, API Gateway, KMS, DynamoDB, OpenSearch) and other tools you select. We are not responsible for third-party services or their terms.
10. Indemnification
You will defend, indemnify, and hold us harmless from claims arising from your Content, misuse of watermarked content, or violation of these Terms or applicable laws.
11. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COVER, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE. OUR TOTAL LIABILITY WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 FOR FREE PLAN USERS.
13. Term, Suspension & Termination
These Terms apply while you use the Service. We may suspend or terminate access for non-payment, abuse, security risks, or legal compliance. Upon termination, your license ends, and we may delete or restrict access to Content as permitted by law.
14. Changes
We may update these Terms and will post the effective date. Where required, we will notify you via email or website announcement. Continued use after changes constitutes acceptance.
15. Governing Law & Disputes
These Terms are governed by the laws of Delaware, USA, excluding its conflict of law rules. Disputes will be resolved through binding arbitration in Wilmington, Delaware, unless AWS Marketplace terms or mandatory law require otherwise.
16. Miscellaneous
Neither party is liable for delays due to force majeure, including cyberattacks. You may not assign these Terms without our consent; we may assign to an affiliate or in a merger/acquisition. If any provision is unenforceable, the remaining provisions remain in effect.
